Terms of Use

These Terms govern use of www.mintqr.com and MintQR commercial services provided by Twinspark (VAT EL802567886). They cover eligibility, onboarding, fees, acceptable use, liability, and applicable law. Read the sections below before using the site or purchasing services.

1. Introduction

These Terms of Use govern access to and use of the website www.mintqr.com (the “Website”) and the services provided by Twinspark, VAT EL802567886 (the “Company”, “Twinspark”, “we”, “our”, or “us”), including the MintQR platform and related onboarding, setup, subscription, support, and digital menu services.

By accessing the Website, submitting an onboarding request, purchasing a service, or using MintQR, you agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.

2. Scope of Services

MintQR is a digital menu and related business tools platform. Our services may include, without limitation:

  • digital menu setup and configuration,
  • branding and visual customization,
  • content import and formatting,
  • QR-related setup and menu publishing,
  • subscription-based access to platform features,
  • support, maintenance, and related commercial services.

The exact scope of each service depends on the package, order, offer, or agreement accepted by the customer.

3. Eligibility and Customer Responsibility

By using the Website or purchasing our services, you confirm that you are at least 18 years old and legally capable of entering into binding agreements. If you act on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

You are responsible for providing accurate, complete, and current information during onboarding, setup, billing, and communication with us. We are not responsible for delays, errors, or failures caused by inaccurate, incomplete, or late information or materials supplied by the customer.

4. Onboarding and Setup

Certain MintQR services may require an onboarding process before the service is launched. This process may include collection of business information, menu materials, branding assets, contact details, translations, and other content required for setup.

The customer is responsible for reviewing all submitted information before final approval. Any launch, publication, or delivery based on approved or submitted material will be deemed accepted unless the customer promptly notifies us in writing of a specific issue.

The onboarding or setup charge is applied upon completion of the relevant order. By placing such order, the customer expressly requests the commencement of onboarding, planning, and related setup work.

5. Fees and Payment

Fees for MintQR services may include, depending on the selected package or agreement:

  • a one-time onboarding or setup fee,
  • recurring subscription fees,
  • optional add-on services,
  • custom work requested by the customer.

All prices, unless otherwise stated, may be shown before applicable VAT or other taxes. Payment is due according to the payment terms presented at checkout, in an invoice, or in a written commercial agreement.

Access to some services may be suspended or delayed until payment is successfully completed.

Where a subscription-based service is offered, the subscription does not begin automatically upon completion of onboarding unless expressly stated otherwise in writing. The customer must activate the subscription by adding a valid payment method through the MintQR admin system or by otherwise completing the required payment setup process communicated by MintQR.

Subscription billing may occur every X months depending on the selected package, offer, or commercial agreement. Unless otherwise agreed in writing, the minimum service commitment for subscription-based services is six (6) months.

6. Cancellation and Refund Policy

6.1 Onboarding Fee

The onboarding fee is refundable only within 24 hours from the time the payment is successfully accepted. After the first 24 hours, the onboarding fee becomes non-refundable, even if the project has not yet launched, because capacity, planning, and setup resources may already have been allocated.

6.2 Subscription Fees

A subscription may be cancelled by the customer at any time for future billing periods. Cancellation will stop future recurring charges from the next billing cycle, unless otherwise stated in a specific commercial agreement.

Once a subscription payment has been successfully accepted, that payment is non-refundable. No full or partial refund is owed for the current billing period, including in cases of partial use, non-use, or early cancellation during that billing period.

Cancellation of a subscription does not cancel or reverse onboarding work already ordered, completed, or in progress, and does not relieve the customer of any outstanding amounts already due under the selected package or agreement.

6.3 Custom or Additional Work

Any custom work, add-on service, content formatting, design adaptation, import, migration, or other work performed specifically for the customer may be non-refundable once work has started, unless we expressly agree otherwise in writing.

6.4 Exceptions

Any refund granted outside the above rules shall be entirely at MintQR’s sole discretion and does not create a precedent or continuing obligation.

7. Subscription Renewal and Termination

If a service is offered on a recurring subscription basis, the subscription may renew in accordance with the selected package, billing cycle, and the payment method activated by the customer through the MintQR admin system or other approved payment process, unless cancelled in accordance with the cancellation method made available to the customer or otherwise agreed in writing.

We reserve the right to suspend or terminate access to the service in the event of non-payment, abuse, unlawful activity, misuse of the platform, or breach of these Terms.

If a scheduled subscription payment fails, MintQR may immediately deactivate the customer’s menus, published menu pages, QR-linked experiences, and related service access until payment is successfully completed.

If no payment is received for a continuous period of six (6) months, MintQR reserves the right to permanently delete the customer account, menus, content, files, configuration, and related data from its systems without further liability, unless mandatory law requires otherwise.

Requests for voluntary account deletion should be sent in writing to contact@mintqr.com. MintQR may require reasonable verification of the requester’s identity and authority before processing such request.

8. Acceptable Use

You agree to use the Website and MintQR services lawfully and in good faith. You must not:

  • use the Website or platform for unlawful, fraudulent, or misleading purposes,
  • attempt unauthorized access to systems, data, or accounts,
  • interfere with the operation, security, or availability of the Website or services,
  • upload or submit material you do not have the right to use,
  • use the service in a way that infringes intellectual property or other third-party rights.

9. Customer Content

The customer remains responsible for all content, text, pricing, descriptions, translations, branding assets, logos, images, and other materials submitted to MintQR for setup or publication.

By submitting such materials, you represent and warrant that you hold the necessary rights, permissions, and authority to use them and to authorize MintQR to process, display, adapt, and publish them for the purpose of delivering the service.

The customer further grants MintQR the non-exclusive right to use elements of completed menus, menu layouts, branding applications, visual outputs, screenshots, and related delivered work for portfolio, advertising, promotional, and marketing purposes, unless otherwise expressly agreed in writing.

10. Intellectual Property

All Website content, software, code, structure, branding, design elements, and service materials belonging to MintQR or Twinspark remain our exclusive property unless explicitly stated otherwise.

The names MintQR, mintQR, related logos, graphics, interface elements, and associated materials are protected by intellectual property rights. No part of the Website or service may be copied, reproduced, distributed, modified, reverse engineered, republished, or commercially exploited without prior written permission from Twinspark.

11. Availability and Changes to Services

We aim to keep the Website and services available and functional, but we do not guarantee uninterrupted or error-free availability. We may update, improve, modify, suspend, or discontinue parts of the Website, the platform, packages, pricing, features, or service structure at any time.

MintQR reserves the right to change these rules, policies, pricing structures, service features, and the present Terms of Use at any time, without further notice. The version published on the Website at the relevant time shall be the applicable version.

MintQR may use third-party service providers, including but not limited to hosting, payment processors, content delivery infrastructure, communication tools, analytics providers, and other technical partners. MintQR shall not be responsible for delays, downtime, interruptions, or losses caused directly by failures, policies, restrictions, or service interruptions attributable to such third parties.

12. No Guarantee of Specific Commercial Outcome

Unless expressly agreed in writing, MintQR does not guarantee any specific business result, commercial outcome, increase in sales, customer engagement, SEO performance, conversion rate, or operational improvement from use of the Website or services.

13. Limitation of Liability

To the maximum extent permitted by law, Twinspark and MintQR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, customers, business interruption, or anticipated savings arising out of or related to the use of the Website or services.

In any case, our total liability arising from a specific order or service relationship shall not exceed the amount actually paid by the customer to MintQR for the specific service giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Twinspark, MintQR, and their owners, directors, employees, contractors, and partners from any claims, liabilities, damages, losses, and expenses arising out of:

  • your breach of these Terms,
  • your misuse of the Website or services,
  • your submitted content or materials,
  • your violation of any law or third-party right.

15. Privacy and Data Protection

Use of the Website and services may also be subject to our Privacy Policy and any other data protection notices made available on the Website. These documents form an integral part of the overall contractual framework between the customer and MintQR.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, the Website, or the services shall be governed exclusively by Greek law.

The courts of Athens, Greece shall have exclusive jurisdiction over any dispute arising between the parties, unless mandatory law provides otherwise.

17. Amendments

MintQR and Twinspark reserve the right to amend, revise, replace, or update these Terms of Use at any time, without prior notice. Continued use of the Website or services after such update constitutes acceptance of the revised Terms.

Customers are responsible for reviewing the most current version of these Terms before purchasing or continuing to use our services.

18. Force Majeure

MintQR shall not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, internet outages, power failures, cyber incidents, labor disputes, governmental actions, natural disasters, epidemics, war, civil unrest, or failures of third-party infrastructure or service providers.

19. Severability and Waiver

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

Any failure by MintQR to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
